Draft, review, and negotiate legal documentation related to fund operations, including third-party service agreements, investment-related contracts, and distribution agreements.
Provide day-to-day legal support across business and operational teams, including document drafting, regulatory interpretation, and internal document review.
Support account opening and maintenance by reviewing account terms, explaining regulatory requirements, and advising on contractual obligations.
Analyze regulatory requirements and assist in the design, implementation, and enhancement of internal policies, procedures, and operational workflows.
Monitor developments in fund regulations and market practices; assess potential impacts on business activities and fund operations, and provide practical recommendations.
Liaise with and manage external legal counsel and service providers to ensure quality, timeliness, and cost efficiency of legal support.
Contribute to legal aspects of cross-functional and ad hoc projects, and where appropriate, act as legal workstream lead.
Provide strategic legal advice to senior management, balancing regulatory compliance with commercial and operational considerations.
Perform other duties as assigned by management.
Qualifications
Bachelor's degree or above in Law (master's degree from an English-speaking country is a plus); admission to practice in any jurisdiction is preferred.
Minimum 5+ years of relevant experience gained within a foreign financial institution, such as an international bank, investment bank, asset manager, hedge fund, or prime brokerage platform.
Experience reviewing and negotiating prime brokerage legal documentation, including master agreements, schedules, and ancillary documents.
Solid knowledge of derivatives and structured products, with proven capability in reviewing and advising on ISDA Master Agreements, credit support documentation, and derivative trade confirmations.
Familiarity with regulatory and compliance frameworks across Asia, the United States, and the Cayman Islands, including cross-border
Working knowledge of AML/CFT requirements, global AML standards, risk assessments and regulatory expectations.
Excellent English proficiency, with strong written and communication skills.
Self-starter with the ability to work independently on complex legal and compliance matters, navigate ambiguous situations while collaborating effectively with internal and external stakeholders.
