Key Responsibilities-
The Counsel will serve as in-house legal advisor to the Company and other Air Liquide (AL) entities in Taiwan, providing comprehensive legal support across various activities, including:
Commercial Contracts:
- Draft, negotiate, and maintain records for all commercial contracts with clients and suppliers, including, but not limited to, gas supply agreements.
Corporate Governance:
- Assist in the drafting of the Company's organizational documents.
- Support the Company Secretary and, in time, serve as Company Secretary for other AL entities in Taiwan.
- Attend board and general meetings as requested, and draft/maintain minutes and corporate resolutions.
Compliance & Regulatory Affairs:
- Ensure compliance of contracts and Company activities with Group standards, applicable laws, and regulations.
- Monitor and communicate new legislation, regulations, and case law relevant to the Company's operations.
Strategic Projects:
- Provide legal support for potential investment and Mergers & Acquisitions (M&A) projects.
Litigation Management:
- Coordinate litigation matters in the ordinary course of business.
Intellectual Property (IP):
- Manage intellectual property matters, including patents, trademarks, trade names, and licenses, relating to the Company's business.
Training:
- Provide compliance training of antitrust, anti-corruption and code of conduct
Ethical Case Investigation:
- Act as ethical case investigator as assigned.
Qualifications-
- Education: Law degree from a recognized university law faculty.
- Experience: At least seven (7) to ten (10) years of relevant work experience, preferably a combination of time in a law firm and a minimum of three (3) years in the legal department of an internationally recognized company.
- License: Admission to Taiwan or US bar is preferred
- Language Skills: Native-level fluency in Mandarin and fluency in English are required.
