About the Role
We are seeking a qualified Corporate Legal Counsel to support compliance, corporate governance, and market capital law matters for our Frankfurt-listed company. The role requires hands-on legal expertise in corporate law, risk management, compliance, and M&A transactions, ideally with experience in listed companies.
Key Responsibilities
- Provide legal guidance on compliance, risk management, corporate law, and market capital regulations.
- Support board and shareholder meetings, disclosures, and filings under German and EU law.
- Draft and review contracts, agreements, and policies.
- Advise on M&A transactions, asset injections, and due diligence.
- Liaise with external counsel, regulators, and auditors.
Qualifications
- Licensed attorney (German jurisdiction) required.
- 5+ years experience in corporate/compliance law; capital markets experience preferred.
- Strong knowledge of securities law, disclosure obligations, and listed company requirements.
- Proven track record in M&A or listed company work.
- Excellent English and Germany communication skills.
