Job Description

【Key Responsibilities】

1. Provide legal support for M&A transactions, including structuring, due diligence, drafting and negotiating term sheets, definitive agreements, and integration activities.

2. Advise on joint ventures, strategic investments, and other complex corporate transactions.

3. Collaborate with internal stakeholders across finance, strategy, tax, HR, and business teams to ensure seamless execution of transactions.

4. Manage external counsel and coordinate multi-jurisdictional legal advice.

5. Monitor legal and regulatory developments that may impact M&A strategy and execution.

6. Support post-transaction integration and ongoing corporate governance matters as needed.

【Requirements】

1. Minimum of 10 years of post-qualification legal experience, including 3-5 years focused on M&A transactions.

2. Prior experience at a reputable international law firm is strongly preferred.

3. Strong understanding of cross-border deal structuring, due diligence, and negotiation processes.

4. Fluent in both Mandarin and English (spoken and written).

5. Bar qualification (Taiwan, US, or other jurisdiction) is a plus.

6. Excellent communication, analytical, and project management skills.

7. Ability to work independently in a fast-paced and collaborative global environment.
