Job Description
We are seeking an experienced Legal Head with a strong background in listed companies. Our client is a publicly listed company with a primary focus on European and US markets, and is looking for a legal professional with solid experience in international commercial matters.
Corporate Governance & Board Operations
Oversee corporate governance matters in compliance with Taiwan regulatory requirements and market practices.
Plan and coordinate board and shareholder meetings, including agenda setting, materials preparation, minutes, and follow-ups.
Support directors in fulfilling their fiduciary duties.
Prepare and review annual reports and other corporate governance disclosures.
Monitor governance evaluation metrics and drive continuous improvement initiatives.
Legal Support & Regulatory Compliance
Review commercial contracts and provide practical legal and risk assessments.
Handle a broad range of legal matters, including labor issues, personal data protection, and contract performance.
Coordinate with external counsel on complex or high-impact legal issues.
Develop and maintain contract templates and internal legal documentation.
Partner with internal stakeholders to ensure compliance with applicable laws and regulations.
ESG & Sustainability
Lead the preparation and coordination of ESG / sustainability reports.
Ensure disclosures are aligned with Taiwan regulatory requirements and stock exchange guidelines.
Support the development of internal ESG policies, processes, and governance frameworks.
Stay updated on global and local sustainability trends and provide recommendations on risk management and compliance.
Requirements
Strong knowledge of Taiwan business laws and regulations, including Company Act, Securities and Exchange Act, Personal Data Protection Act, and Labor-related regulations.
Experience in ESG or sustainability reporting is a plus.
Legal background with in-house experience in a public or listed company preferred.
At least 3 years of experience in a corporate governance leadership role within a public company.
Qualified lawyer is a plus.
Solid experience in international commercial contracts with strong English communication and negotiation skills.
