Job Description
A growing regional business group is looking for a Taiwan-qualified Legal Counsel to support its businesses and operations in Taiwan.
Based in Taiwan, this person will work directly with the Group's senior Legal and Compliance leader. The role covers employment law, M&A, entity formation, regulatory engagement, commercial matters and product-related data privacy.
Responsibilities
- Advise the business on Taiwan employment and labour law matters, including employee issues, policies and employment documentation.
- Support acquisitions, disposals and other M&A transactions involving Taiwanese companies.
- Manage Taiwan legal due diligence, transaction documents, corporate approvals and regulatory requirements.
- Establish new Taiwanese entities and prepare the required incorporation and governance documents.
- Identify and resolve legal or regulatory issues arising during entity formation and business setup.
- Engage directly with Taiwanese regulatory authorities on M&A, ownership changes, licenses and other business matters.
- Advise business teams on local regulatory requirements and the practical approach to dealing with authorities.
- Provide data privacy advice relating to product development, customer information and business operations.
- Act as an in-house legal business partner by providing clear, commercially practical advice.
- Draft and negotiate commercial, technology, supplier, service, confidentiality and partnership agreements.
- Support Taiwan corporate governance, statutory filings, licenses and company records.
- Monitor legal and regulatory developments and explain their impact to the business.
- Manage external Taiwan counsel when specialist, contentious or higher-risk advice is required.
Requirements
- Qualified to practice law and called to the bar in Taiwan.
- Approximately 3+ years Post Qualification Experience, ideally with prior private practice experience followed by in-house legal experience
- Professional fluency in Mandarin Chinese and English, including legal drafting in both languages.
- In-house legal experience supporting business and operational stakeholders.
- Strong knowledge of Taiwan employment and labour law.
- Direct experience supporting M&A transactions involving Taiwanese entities.
- Experience establishing companies in Taiwan and managing the associated documentation and regulatory requirements.
- Experience engaging with Taiwanese regulatory authorities.
- Understanding of data privacy requirements affecting products and business operations.
- Strong legal business-partnering skills with the ability to provide practical commercial advice.
- Experience in commercial contracts and corporate governance matters.
- Experience within technology, software, payments, financial services or another regulated business would be advantageous.
