About The Role
We are looking for an experienced Legal Counsel to establish and lead the legal function for a growing, multi-entity organisation.
This is a highly hands-on position covering corporate, regulatory, commercial, intellectual property, data protection, and risk matters across multiple jurisdictions. Beyond ensuring compliance, the Legal Counsel will act as a strategic business partner, identifying potential risks early and providing practical, commercially sound legal advice.
Key Responsibilities
Regulatory & Licensing
- Lead regulatory and licensing matters, including applications, renewals, and ongoing compliance across relevant markets.
- Track regulatory developments and advise the business on market-entry requirements, restrictions, and compliance considerations.
- Coordinate with external legal advisers on regulatory and licensing matters.
Corporate & Governance
- Advise on the group's corporate structure and ongoing entity management.
- Oversee corporate governance requirements across multiple entities.
- Support M&A, restructuring, and other corporate initiatives as the business expands.
Commercial Contracts
- Draft, review, and negotiate B2B commercial, licensing, partnership, and marketing agreements.
- Manage vendor, supplier, and third-party agreements across the group.
- Lead legal due diligence for relevant business and corporate transactions.
Intellectual Property & Data Protection
- Develop and manage the group's IP protection strategy.
- Advise on IP-related matters across different markets.
- Oversee data protection and privacy compliance across jurisdictions.
Risk, Compliance & Disputes
- Develop and maintain practical legal and compliance frameworks across the group.
- Handle disputes, litigation, and regulatory investigations when required.
- Provide legal support on employment-related matters, internal policies, and sensitive HR issues.
Legal Function Development
- Build legal processes, templates, contract frameworks, and playbooks for a growing multi-entity organisation.
- Deliver legal and compliance training to business and operational teams.
- Manage relationships with external counsel across different jurisdictions.
- Monitor changes in laws and regulations relevant to the business.
- Provide legal support on ad-hoc projects and new business initiatives.
Requirements
- Law degree from a recognised university.
- Qualified lawyer in Singapore, Malaysia, the UK, or another common-law jurisdiction.
- Around 5–8 years of relevant legal experience, gained in-house, at a law firm, or a combination of both.
- Strong exposure to IP / TMT law, regulatory matters, and licensing.
- Proven experience drafting and negotiating commercial agreements, ideally within a technology, digital, gaming, media, or similar environment.
- Experience with corporate structuring and/or cross-border data protection would be advantageous.
- Comfortable working independently in a lean, fast-moving and international environment.
- Strong organisational, prioritisation, analytical, and problem-solving skills.
- Commercially minded, with the ability to balance legal risk with business objectives.
- Strong stakeholder management skills and the ability to communicate complex legal issues clearly to non-legal stakeholders.
- Proactive, detail-oriented, dependable, and comfortable taking ownership of the legal function.
