Position Overview
We are seeking a highly skilled and experienced In-House Legal Counsel to join the team. This role is pivotal in safeguarding the company's legal interests and providing strategic legal support across our operations. The successful candidate will manage all legal and contractual matters, with a specific focus on advising on the commercial and operational aspects of our projects to ensure compliance, mitigate risk, and maximize profitability.
Key Responsibilities
Contract & Legal Responsibilities
- Contract Management: Collaborate with internal teams (Finance, Operations) and external stakeholders (clients) to ensure the smooth execution and administration of all contracts.
- Review & Negotiation: Review, negotiate, and finalize a wide range of contracts, including main contracts, subcontract agreements, and supplier agreements, ensuring strict adherence to legal standards and company policies.
- Risk Mitigation: Work closely with project and procurement teams to streamline contract processes and proactively identify and mitigate potential legal and commercial risks.
- Oversight & Administration: Oversee the entire contract lifecycle from initiation to completion, tracking key milestones, deliverables, and obligations to ensure full compliance.
- Compliance & Dispute Resolution: Monitor contract performance to ensure compliance with terms and conditions, and address any deviations, claims, or disputes as required, representing the company's interests effectively.
Commercial & Advisory Responsibilities
(In support of the Finance Director and Project Teams)
- Commercial Strategy Support: Provide expert legal and strategic advice to the company on commercial terms, pricing strategies, and contract negotiations to maximize project profitability and ensure legal soundness.
- Tender & Bid Support: Review tenders to ensure accuracy, completeness, and alignment with legal requirements, advising on potential risks and opportunities within the bid documents. Advise on the preparation of critical project documentation, including Extension of Time (EOT) requests, progress claims, and Loss & Expense claims to ensure they are legally robust and well-substantiated.
- Dispute Resolution & Negotiation Support: Act as a key advisor in resolving commercial disputes efficiently. Support the commercial team in negotiations with clients, subcontractors, and suppliers, offering legal guidance to achieve timely project completion and favorable outcomes.
- Recovery & Risk Management: Support project teams in expediting suppliers to meet project deadlines and provide legal advice on the development and implementation of recovery plans when necessary.
Qualifications & Requirements
- Certification: Must be a certified lawyer, called to the Bar and in good standing in Singapore or a recognized common law jurisdiction.
- Education: Bachelor of Laws (LL.B.) or equivalent.
- Experience: A minimum of 5-8 years of post-qualification experience (PQE), with a strong background in a law firm or in-house legal department.
- Industry Expertise: Must have a strong legal background and proven experience in contract, trade, and commercial transactions specifically within the construction or engineering industry.
