Job Description

Established in 1987 and headquartered in Taiwan, TSMC pioneered the pure-play foundry business model with an exclusive focus on manufacturing its customers products. As of 2024, TSMC serves more than 500 customers and manufactures over 11,000 products for high-performance computing, smartphones, the Internet of Things (IoT), automotive, and digital consumer electronics. It is the world's largest provider of logic ICs, with an annual capacity of 16 million 12-inch equivalent wafers. TSMC operates fabs in Taiwan as well as manufacturing subsidiaries in Washington State, Japan and China, and the Company began construction on a specialty technology fab in Dresden, Germany, in 2024. In Arizona, TSMC is building three fabs, with the first starting 4nm production in 2025, the second by 2028, and the third by the end of the decade.

We are seeking a dedicated and skilled counsel to join our Corporate & Compliance Legal Division. This role presents a unique opportunity to contribute to high-impact legal projects and engage with cross-functional teams to support our strategic goals.

Job Responsibilities:

As a member of the Corporate & Compliance Legal Division, your primary responsibilities will include:

1. In-Depth Legal Research and Analysis: Conduct comprehensive legal research and analysis on compliance-related issues, with a particular emphasis on competition laws. Your insights will provide essential guidance for informed decision-making.

2. Developing Legal Arguments and Proposals: Craft and articulate practical legal arguments and proposals in response to both internal and external inquiries. Proactively identify potential legal challenges and devise innovative solutions to address them.

3. Negotiation and Drafting of Complex Agreements: Lead the negotiation and drafting of complex agreements integral to strategic projects. Ensure all contractual arrangements align with company objectives and adhere to relevant legal standards.

4. Collaboration Across Departments: Work closely with various departments to offer solutions. Serve as a trusted legal advisor to support business operations and strategic initiatives.

5. Regulatory Compliance Management: Stay updated on evolving laws and regulations to ensure the company's ongoing compliance. Develop and implement effective compliance programs to mitigate potential legal risks.

Job Qualifications:

1. A qualified lawyer in the US, EU, or Taiwan, possessing a thorough understanding of competition laws and principles.

2. 38 years of relevant experience in antitrust, compliance, and/or corporate laws, with a preference for candidates with both transactional and litigation expertise.

3. A strong work ethic, attention to detail, and the ability to communicate effectively in a dynamic and fast-paced work environment.

4. Proficiency in the Chinese language is essential.

5. Prior experience in the semiconductor industry, or a background (education or practical experience) in science or engineering is preferred.
