About the Role
We are seeking a proactive and detail-oriented Corporate Secretary / Paralegal / Legal Specialist to support the company's corporate governance, entity management, and compliance operations in Taiwan, across the group's U.S. and international affiliates. The ideal candidate will have practical experience handling corporate registration, business licensing, and company secretarial filings, preferably gained from working in a law firm or professional services firm.
This position requires strong organizational and communication skills, accuracy, and the ability to coordinate across multiple jurisdictions while ensuring full compliance with statutory and internal governance requirements.
Key Responsibilities
- Manage and coordinate corporate secretarial functions, including company incorporations, dissolutions, and amendments to company registration.
- Handle business registration filings with competent authorities, including changes in capital, directors, or registered address.
- Prepare and maintain board resolutions, meeting minutes, powers of attorney, and other governance documents.
- Coordinate with internal and external stakeholders, including law firms, accountants, regulators, and company secretarial service providers, to ensure accurate and timely filings.
- Support the scheduling, logistics, and documentation of board and shareholder meetings, including agenda preparation and post-meeting follow-up.
- Maintain and update corporate records and statutory registers in entity management systems.
- Ensure compliance with Companies Act, Securities and Exchange Act, and other relevant governance frameworks.
- Liaise with notaries, external counsel, and authorities for document notarization, legalization, and other filings.
- Provide paralegal support for legal research, filings, and documentation under the supervision of the Legal team.
- Assist with corporate transactions, director/shareholder changes, and cross-border investment registrations.
Qualifications
- Bachelor's degree in Law, or a related discipline (Business Administration, Accounting, or Finance background a plus).
- Minimum of 3 years relevant corporate secretarial, paralegal or corporate law experience, preferably in a law firm or corporate secretarial department.
- Fluent in both English and Chinese (written and verbal), with the ability to collaborate effectively across teams and jurisdictions; English and Chinese proficiency at a native or near-native level.
- Proven experience handling business registration and regulatory filings with competent authorities.
- Strong knowledge of corporate governance, the Companies Act, and regulatory compliance practices.
- Excellent drafting, organizational, and communication skills with meticulous attention to detail.
- Highly analytical with problem-solving skills, accuracy and accountability.
- Proactive self-starter with the ability to work independently in a fast-paced and evolving environment.
Preferred / Added Advantages
- Taiwan Bar qualification and/or USCPA are strong advantages but not required.
- Overseas law degree (LL.M. or equivalent) or international legal training experience is a plus but not required.
- Experience in listed company governance, cross-border entity management, or group restructuring.
- Familiarity with AML, compliance, and internal control frameworks.
