PURPOSE

Assist and provide support to the Company Secretariat team in the management of the Group's corporate secretarial matters.

KEY ACCOUNTAIBILITIES

  • Provide full administrative and logistical support for the Board and Committee meetings including calendaring planning for meeting dates, collating papers from various stakeholders/ functions and uploading, printing and distributing board information (where necessary), monitoring attendance for quorum purposes and working closely with other functions to ensure a smooth running of all such meetings.

  • For any Board and Committee meetings, ensure that the needs of directors and other stakeholders are met, including coordinating itineraries, meals, accommodations and transportation as necessary.

  • Assist in providing pre-meeting briefings as necessary with various stakeholders

  • Assist in the co-ordination and provision of board trainings to the Board

  • Support the Nomination and Corporate Governance Committee on its board evaluation review and on its assessment of each director's time and commitment and contribution to the Board.

  • Support and liaise with Investor relations on shareholder meetings

  • Review the relevant reporting and policies of business units and provide group guidance as appropriate

  • Diligently maintain the confidentiality of confidential data and information of the Group

  • Supporting Company Secretariat team on any corporate restructurings verification requests andpublic disclosures supporting the implementation of governance frameworks, policies and procedures and terms of reference reviewing and assisting Company Secretariat team on the management of information published by Group Secretariat and ensuring compliance with listing rules requirements submission of relevant documents/forms to HKEX, external counsel and third party service providers, handling due diligence requests from respective parties

  • Assisting the Company Secretariat team on HKEX compliance and establishing processes and procedures to ensure compliance with the listing rules

  • Assisting on the preparation of the corporate governance section of the annual report.

  • Supporting Company Secretariat team in ensuring corporate records are securely and confidentially kept and updated accordingly

  • Support Company Secretariat on various stakeholder requests not mentioned above

  • Handle and deal with enquiries on company secretarial services and other regulatory/statutory compliance matters

  • Support Company Secretariat on changes to relevant legislation and regulatory requirements and assess the impact on the Company's business operations to ensure compliance

  • To act as a BCP Coordinator of Legal/Cosec team so as to provide coordination and support between team members in case of emergency

  • Assist in all other ad-hoc general company secretarial matters/projects as may be directed

QUALIFICATIONS / EXPERIENCE

  • At least 5 years proven executive assistant, administrative, office manager or such other relevant experience in serving senior stakeholders and working on a dynamic team in a fast-paced international environment (listed company, financial institution, advisory, consultancy or professional services firm)

  • Corporate secretarial, legal or accounting qualifications and experience advantageous

KNOWLEDGE & TECHNICAL SKILLS

  • Proficiency in MS Office, strong IT skills

  • Excellent communication and interpersonal skills

  • Fluent in English with excellent writing skills. Advantageous if the candidate also have fluency in Cantonese with excellent Chinese writing skills.

  • Able to manage multiple stakeholder requests under time pressure, independent but also a good team player with willingness to go the extra mile
